The purpose of the Private Company Index (PCI) is to provide the financial market with the ability to objectively measure private business activity on a monthly basis while providing business owners and the public the ability of following the trends of privately owned businesses.

There are no costs associated with being an Index Company, only an increase of exposure and visibility to you and your company. Each month a press release is distributed throughout North America announcing the PCI score and sharing news/quotes about trends in private company performance…….directly from the mouths of CEOs like you.

The only responsibility of being an Index Company is that you commit to submitting your gross sales figures each month. Rest assured, all monthly revenue information submitted (via email/fax/verbal) is completely confidential and will only be used to compute an index score. We’ll never release your specific figures to anyone. As a rule, monthly numbers should be submitted no later than the 10th of the following month to index manager@privatecompanyindex.com. An email reminder will be sent about a week ahead of time.

Please understand that in order to have consistency and accuracy in our monthly Private Index report; all companies are required to submit monthly numbers. Failure to comply with submitting monthly sales numbers may result in your removal of your numbers from the PCI

The “Memorandum of Participation” outlines the terms and conditions of participation as a “Private Company Index”. If you are in agreement to the terms and conditions, please click the box on the form.

This understanding, reached this date is entered into by and between:

Entrex Inc., (Entrex) and the Applicant (Applicant).

WHEREAS; COMPANY and Entrex, through their representative as shown in this application have agreed upon the core business terms of a transaction as indicated below:

WHEREAS; Entrex provides a neutral information platform in alliance with various capital markets creating a “public market for private company shareholders”;

WHEREAS; Entrex provides the capital market information about it’s Private Index Companies and has aligned to create the “Private Company Index”.

WHEREAS; The “Private Company Index” obtains activity data from multiple, private companies from around the world on a consistent monthly basis. This data is managed by statisticians with resulting “Private Company Index” values being posted and distributed to the financial marketplace every month.

WHEREAS Applicant wishes to be a “Private Company Index” Company and Entrex acknowledges Applicant shall have the right to indicate to the business and professional trades as such.

WHEREAS; Applicant as a “Private Company Index” Company agrees to provide monthly revenue data to the “Private Company Index” on a consistent monthly basis. Applicant understands that this data shall be maintained strictly confidential but acknowledges that this data will be used anonymously within the Index’s consolidated financial analysis along with other “Private Company Index” company’s data in an effort to create monthly index values.

NOW, THEREFORE, the parties hereto agree to work together in good faith to create the “Private Company Index” to and for the benefit of all parties pursuant to this and subsequent definitive agreements.

IN WITNESS WHEREOF, this Agreement has been executed by the parties hereto; as of the date acknowledged through accepting the terms acknowledged forthwith.
